Working with family can have its challenges with trust and  family dynamics clouding wise business decisions. Peter and Andrews  investing in the future of their company from the ground floor is very  important.In  regard to Peter and Andrews choosing between whether their business  should be formed as a general partnership or a limited liability  company, I would advise them to pursue a LLC. According to __, “A  limited liability company is an entity whose primary characteristics are  that it offers its principals the same amount of liability protection  afforded to principals of a corporate form of entity and it offers  pass-through tax treatment for its principals without the restrictions  on ownership and scope required for other pass-through entities.” (p.  470) I would also suggest that a LLC is the best route for them because  of the nature of their business. Working in the hunting and fishing  industry there are many things that could go wrong and cause harm to a  guest. As members of a LLC they would not be personally responsible for  lawsuits of debts that the business faces. Another  benefit of the LLC is that Peter and Andrew would be able to create an  operational agreement attempting to anticipate any what ifs that may  occur in their business. I would encourage then to business  contributions be valued either as an equal contribution where both  brothers must contribute an equal amount. If that cannot be done I would  say that contributions be valued in equity in the new business. I  would not suggest for Peter and Andrew to include Paul as a co-owner of  their lodge. Although Paul has knowledge and experience that would make  him a valuable asset to their business, I don’t believe that this  warrants ownership of the company. I think that based on his experience I  would encourage a managerial positon or role as a director of  hospitality. It would be great to have him participating in the day to  day operations creating lasting experiences with guests.2nd Thread (Disagree)Since Peter and Andrew are on track to open their own business,  between the two of them I think that a general partnership would be a  better fit for their needs and type of business.   “Unlike most business  entities, general partnerships are not created by filing a form with a  government agency.  Instead, the law recognizes two or more principals  as being a general partnership if they have demonstrated an intent to  carry on as co-owners of a business for profit” (Melvin, 2018, p. 447).   After reading what exactly a general partnership is, it seems that this  type of business would best suit Peter and Andrew in their new-found  company.  Both Peter and Andrew will be equally responsible, and  everything will be split between the two.  This will be the simplest and  least expensive business partnership.Each owner of the business will have equal obligations for the  business and they will both have to agree on liabilities.  When  discussing contracts, debts and lawsuit judgments, they must come to an  agreement since they have equal rights in the company.  Profits and  losses must be equally distributed between Peter and Andrew, as they are  both responsible for each.  Since the two brothers came up with this  idea together and it has been in the making for years, the disagreements  should be limited andI do not think Paul should be considered a co-owner of the company.  I  think they he should be given the title of an Operations Manager,  because that role will better suit him.  Paul did not come up with the  idea like Peter and Andrew did, but Paul can help manage the business in  a different way.  Paul would still be an important asset to the team  and bring strengths, just not as a co-owner.  I do not think they should  turn their back on Paul and not include him just because he is weary  with churches.  As Christians, we should not exclude non-believers, but  instead lead them to the Lord.  I do believe, however, that Peter and  Andrew need to tell him about their plans for making the lodge available  to local church groups and worship retreats.  They should be honest and  open with Paul if they are going to trust him with their business.   “Therefore, each of you must put off falsehood and speak truthfully to  your neighbor, for we are all members of one body” (Ephesians 4:25 NIV).
